Welcome

Thank you for choosing to visit our website. Nonprofit Film School (the "School") is operated by, and is a trade name registered to Reliant Studios, Inc. ("Reliant") (References to Reliant collectively refer to Reliant and the School.) These Terms and Conditions ("Terms of Use") apply to your access to, and use of, the School's websites located at www.nonprofitfilmschool.com, Reliant's website at www.reliantstudios.com,as well as any other Reliant and School controlled sites, regardless of domain name or IP address (collectively "Site" or "Sites") and features, applications, videos, and Premium Content accessible through, or in connection with, the Sites (collectively the "Services"). Certain Services may be subject to additional terms and conditions (collectively "Additional Terms") as may be set forth in these Terms of Use, on the Sites or in connection with your use of such Services, and your use of such Services constitutes your agreement to all applicable Additional Terms and such Additional Terms are hereby incorporated by reference into these Terms of Use. Further, these Terms of Use are in addition to the terms or conditions of any other agreement you may have with Reliant, or its subsidiaries or affiliates, for products, services or otherwise, including, without limitation, terms, conditions and policies relating to the courses and educational programs provided by the School.

PLEASE READ THESE TERMS OF USE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. BY ACCESSING OR USING ANY OF THE SITES OR THE SERVICES, YOU ARE ENTERING INTO A LEGAL CONTRACT WITH RELIANT, THE TERMS OF WHICH GOVERN YOUR USE OF THE SITES. ACCORDINGLY, BY YOUR ACCESS OR USE YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS DESCRIBED HEREIN AND ALL ADDITIONAL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THE SITES OR THE SERVICES.

Overview

Reliant Studios, Inc. operates Nonprofit Film School, a comprehensive online course designed to help organizations tell their story through clear, emotionally-compelling, and goal-achieving videos. In order to access the School, you must register for an account and purchase a subscription to view the School's content. Each individual must have their own account and the sharing of content or accounts is strictly prohibited.

The teachers of Nonprofit Film School are experts in their field and have spent years studying and perfecting all elements of video storytelling. However, Reliant cannot guarantee that any individual or organization will obtain any specific results as a result of their use of the School.

At times, Reliant may reference products provided by other parties, including books, cameras, or services. Reliant is not affiliated with those companies and the names and trademarks associated with those products are the property of their respective owners.

Modifications to Terms of Use

Reliant reserves the right to change or modify any of the terms and conditions contained in the Terms of Use or any Additional Terms of the Sites, at any time and in its sole discretion. If Reliant changes or modifies these Terms of Use, Reliant will post the changes to these Terms of Use on the Sites and will indicate at the top of this page the date these Terms of Use were last revised. Any changes or modifications will be effective immediately upon posting of the revisions to the Sites, and you waive any right you may have to receive specific notice of such changes or modifications. Your continued use of any of the Sites or the Services following the posting of changes or modifications will constitute and confirm your agreement to and acceptance of such changes or modifications. It is your responsibility to regularly check this Site to determine if there have been changes to these Terms of Use and to review such changes. If you do not agree to the amended terms, you must stop using the Sites and the Services.

User Accounts, Registration, and Information Submission.

Registration. In order to utilize some of the Services, including a subscription membership to the Services, you must register and create an account. You may also need to create an account with one or more third-parties in order to access the Services. In order to create an account with Reliant, you must complete the registration process by providing Reliant, or a third-party engaged by Reliant, with complete and accurate information as prompted by the registration form, including contact information, a username, and password. You agree to notify Reliant immediately of any unauthorized use of your account or any other breach of security. If you create an account on behalf of an entity, these Terms bind both you and the entity. You also agree to do the following:

(a) provide accurate, current and complete information about you as may be prompted by any registration forms on the Sites ("Registration Data");

(b) maintain and be solely responsible for the security of your password and identification and take full responsibility for your own and third party activities that occur under your account;

(c) maintain and promptly update the Registration Data, and any other information you provide to Reliant, to keep it accurate, current and complete; and

(d) accept all risks of unauthorized access to the Registration Data and any other information you provide to Reliant.

Refusal of Service. Reliant reserves the right, with or without notice, to terminate the account of, or refuse service to, any persons that violate these Terms, violate any party's intellectual property rights, abuse other Site users, misuse the Site or its Services, or otherwise engage in inappropriate conduct, as determined by Reliant in its sole discretion.

Information Submission and Age Restriction. By submitting any information, including any User Content as defined below, through the Services, you represent and warrant that you are 13 years of age or older, and, if under the age of majority in your state, you are either an emancipated minor, or have obtained the legal consent of your parent or legal guardian to enter into these Terms and use the Services. Reliant does not intend to use the Services to collect any information from children under age 13.

Copyright and Limited License from Reliant

Reservation of Rights. Unless otherwise indicated in the Sites, the Sites, the Services and all content and other materials on the Sites including, without limitation, the School and Reliant logos, and all videos, designs, text, graphics, pictures, information, data, software, routines, documentation, technology, sound files, other files, and the selection and arrangement thereof (collectively, the "Site Materials") are the proprietary property of Reliant, the School, or their licensors or users and are protected by U.S. and international copyright and other laws.

Premium Content License. The Services allow you to purchase a fee-based subscription to the School's content, including videos and related manuals and resources (the "Premium Content"). Subject to, and in accordance with, these Terms, and conditioned upon proper payment, Reliant grants to You, and You accept from Reliant, a non-exclusive and non-transferable limited license to access and use the applicable Premium Content as described herein. Reliant reserves all rights not expressly granted to You hereunder. This license is automatically terminated if you violate any of these Terms.

Payment. Your use of the Premium Content is conditioned upon the payments described when you subscribe to the Premium Content. Your access to and use of the Premium Content is conditioned upon your one-time or recurring payment to Reliant for a subscription to use the Premium Content, as determined at the time of your enrollment. If you fail to make the required payment(s) to Reliant (or a third-party acting on behalf of Reliant), or your subscription period ends, your license to access the Premium Content is automatically revoked.

Free Trials. Reliant may offer the Premium Content, or a limited version thereof, in a limited free form, on a limited free-trial or discounted basis, or on a fee-based subscription basis. Please review the specific terms of your applicable subscription for more details on any required payment, the details of any free-trial offer, and the potential for additional purchases or fees for increased capabilities. If you fail to cancel your subscription within the free-trial period, you will incur subscription fees.

Personal Use. You may only use the Premium Content for your own personal, noncommercial use. You may not provide any of the Premium Content to any other person.

Prohibitions. You must not do, or permit others to do, any of the following:

(a) resell, sublicense, lease, transfer, lend, timeshare, syndicate or commercially use the Sites, Site Materials or the Services;

(b) decompile, reverse engineer, disassemble or otherwise attempt to derive any source code from the Sites, the Site Materials or the Services;

(d) modify, adapt, translate, or create any derivative works of the Sites, the Site Materials, the Services or any portion thereof;

(e) use any data mining, crawlers, spiders, robots or similar data gathering or extraction methods;

(f) download, index or in any non-transitory manner store or cache any portion of the Sites, the Site Materials, the Services or any information contained therein, except as expressly permitted on the Sites;

(g) remove, deface, obscure, or alter any copyright, trademark or other proprietary rights notices affixed to or provided in connection with the Sites, the Site Materials or any Services;

(h) create or attempt to create a substitute or similar service or product through the use of or access to the Sites, the Site Materials, the Services or any proprietary information related thereto; or

(i) use the Sites, the Site Materials or the Services other than for its intended purpose.

Any use or attempted use of the Sites, the Site Materials or the Services other than as specifically authorized herein, without the express prior written permission of Reliant, or its licensors, is strictly prohibited and will, among other things, terminate the license granted herein. Such unauthorized use or attempted use may also violate applicable laws, including without limitation, copyright and trademark laws and applicable communications regulations and statutes. Except as explicitly stated herein, nothing in these Terms of Use or any applicable Additional Terms shall be construed as conferring any license to any intellectual property rights, whether by estoppel, implication or otherwise. This license is revocable at any time, in Reliant’s sole discretion.

Disclaimers. The Premium Services are provided "AS IS." Reliant does not represent or warrant and expressly disclaims any warranty that (i) your computer or device has the specifications to support the video, PDF, or similar file containing any of the Premium Content; (ii) any information contained in the Premium Content will be accurate, (iii) the Premium Content will be error-free or accessible at all times, (iv) defects will be corrected, (v) the Premium Content or the server that makes it available, are free of viruses or other harmful component, or (vi) the use or the results of the use of the Premium Content will be correct, accurate, timely, or otherwise reliable.

Maintenance or Support. Reliant is not under any obligation to provide maintenance or support for the Premium Content. Reliant may provide maintenance or support for the Premium Content in Reliant's sole discretion.

Payment and Refund Policy

As noted above, you may choose to purchase access to the Premium Content in order to view the School's videos and related content. If you purchase a Premium Content subscription, then you consent to Reliant, or a third-party on behalf of Reliant, to storing your payment information. You agree to pay the applicable fees for the Premium Content as they become due and to reimburse Reliant for all collection costs and interest. The failure to pay may result in the termination of your account or subscription. Your obligation to pay fees continues through the end of the subscription period during which you cancel your subscription. Reliant does not guarantee refunds for lack of usage or dissatisfaction with the Premium Content. Prices are subject to change.

Digital Millennium Copyright Act

Reliant respects the intellectual property rights of others and complies with safe harbor provisions of the Digital Millennium Copyright Act ("DMCA"). Anyone who believes that their work has been reproduced on the Sites in a way that constitutes copyright infringement may notify Reliant's copyright agent in accordance with Title 17, United States Code, Section 512(c)(2), by providing the following information:

Identification of the copyrighted work that you claim has been infringed;
Identification of the material that you claim is infringing and needs to be removed, including a description of where it is located on the Website so that the copyright agent can locate it;
Your address, telephone number, and, if available, e-mail address, so that the copyright agent may contact you about your complaint; and
A signed statement that the above information is accurate; that you have a good faith belief that the identified use of the material is not authorized by the copyright owner, its agent, or the law; and, under penalty of perjury, that you are the copyright owner or are authorized to act on the copyright owner's behalf in this situation.

If you give notice of copyright infringement by text email, Reliant's copyright agent may begin investigating the alleged copyright infringement; however, we must receive your signed statement by mail or as an attachment to your email before we are required to take any action.

Reliant will terminate, in appropriate circumstances and at Reliant's sole discretion, users, subscribers or account holders who are deemed to be repeat infringers. Reliant may also, at its sole discretion, limit access to the Sites and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

Trademarks

All logos and any other product or service name or slogan contained in the Sites are trademarks of Reliant, the School, or their suppliers or licensors, and may not be copied, imitated or used, in whole or in part, without the express prior written permission of Reliant, the School or the applicable trademark holder. You may not use any meta tags or any other "hidden text" utilizing "Reliant Studios" or "Nonprofit Film School" or any other name, trademark or product or service name of Reliant without our express prior written permission. In addition, the look and feel of the Sites, including all page headers, custom graphics, button icons and scripts, is the service mark, trademark and/or trade dress of Reliant and may not be copied, imitated or used, in whole or in part, without our express prior written permission. All other trademarks, service marks, logos, and product names published on the Sites are the property of their respective owners. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by Reliant.

Hyperlinks

Reliant makes no claim or representation regarding, and accepts no responsibility for, the quality, content, nature or reliability of third-party web sites accessible by hyperlink from the Sites, or web sites linking to the Sites. Such sites are not under the control of Reliant and Reliant is not responsible for the contents of any linked site or any link contained in a linked site, or any review, changes or updates to such sites. Reliant provides these links to you only as a convenience, and the inclusion of any link does not imply affiliation, endorsement or adoption by Reliant of any site or any information contained therein. When you leave the Sites, these Terms of Use will no longer govern your Internet browser session. Your use of any site to which you navigate from the Sites will be subject to that site's terms of use, if any, and its privacy and data gathering policies. It shall be your sole responsibility to review the applicable terms and policies, including privacy and data gathering practices, of any site to which you navigate from the Sites.

You are granted a limited, non-exclusive right to create a text hyperlink to publicly available Sites for noncommercial purposes, provided such link does not portray Reliant or any of its products and services in a false, misleading, derogatory or otherwise defamatory manner or light, and provided further that the linking site does not contain any adult or illegal material or any material that is, in Reliant’s sole opinion, offensive, harassing or otherwise objectionable. This limited right may be revoked at any time. You may not use Reliant’s or the School’s logos or other proprietary graphic of Reliant to link to the Sites without the express prior written permission of Reliant. Further, you may not use, frame or utilize framing techniques to enclose any Reliant trademark, logo or other proprietary information, including the images found at the Sites, the content of any text or the layout/design of any page or form contained on a page on the Sites without Reliant's express prior written permission. Except as expressly stated above, you are not conveyed any right or license by implication, usage, custom, estoppel or otherwise in or under any patent, trademark, copyright or proprietary right of Reliant or any third party.

Third Party Products, Services, Advertisements and Promotions

Reliant may use third-parties to assist Reliant in providing the Services, including companies that host the Sites, process payments, collect information, or provide other services. The use of such third-party services are subject to the third-party's terms of service. Any disputes arising regarding a third-party's services must be resolved directly between user and the third-party. Reliant disclaims all warranties or representations regarding any third-party services.

Reliant and the School may also provide information about or links to third party products or services on the Sites or may run third party advertisements or promotions on the Sites. Your business dealings or correspondence with, or participation in promotions of, such third parties, and any terms, conditions, warranties or representations associated with such dealings or promotions, are solely between you and such third party. Reliant is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or promotions or as the result of the presence of such advertisers or third party information on the Sites.

User Content and Conduct

The Sites or the Services may include public or restricted access discussion forums, or other interactive areas or services ("Interactive Areas"), including chat rooms or message boards, online hosting or storage services, mobile applications, tablet applications, or other areas or services in which you or other users create, post or store any content, messages, materials, data, information, text, music, sound, photos, video, graphics, code or other items or materials on the Sites ("User Content"). Interactive Areas are provided "as is." You are solely responsible for your use of such Interactive Areas and use them at your own risk.

If you post User Content, you agree that your User Content will be accessible and viewed by others. You agree not to post, upload to, transmit, distribute, store, create or otherwise publish through the Sites any of the following:

(a) User Content that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable;

(b) User Content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law;

(c) User Content that may infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party;

(d) User Content that impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity;

(e) Any unauthorized commercial use such as, but not limited to, engaging in unsolicited promotions, political campaigning, advertising, or solicitations, hyperlinking off of the Sites, or collecting names and email addresses for the purpose of sending unsolicited emails;

(f) Private information of any third party, including, without limitation, addresses, phone numbers, email addresses, Social Security numbers and credit card numbers;

(g) Viruses, corrupted data or other harmful, disruptive or destructive files; and

(h) User Content that, in the sole judgment of Reliant, is objectionable or which restricts or inhibits any other person from using or enjoying the Interactive Areas or the Sites, or which may expose Reliant or its users to any harm or liability of any type.

This list of prohibitions provides examples and is not complete or exclusive.

By posting any User Content, you represent and warrant that you have the lawful right to distribute and reproduce such User Content.

You further agree not to access or attempt to access any Interactive Areas which you are not authorized to access or to provide or facilitate access to any nonpublic Interactive Area by any unauthorized user.

Any use of the Interactive Areas or other portions of the Sites, the Site Materials or the Services in violation of these Terms of Use, including the foregoing, may result in, among other things, termination or suspension of your rights to use the Interactive Areas and/or the Sites, the Site Materials or the Services.

Reliant and the School takes no responsibility and assumes no liability for any User Content posted, stored or uploaded by you or any third party, or for any loss or damage thereto or resulting therefrom, nor is Reliant liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity you may encounter. As a provider of interactive services, Reliant is not liable for any statements, representations or User Content provided by its users in any public forum, personal home page or other Interactive Area. Accordingly, Reliant has no obligation to screen, edit, or monitor User Content or the Interactive Areas. However, Reliant reserves the right, and has absolute discretion, to refuse, block, move, or remove any User Content posted or stored on the Sites at any time with or without cause and for any reason or no reason, with or without notice. You are solely responsible for creating backup copies of and replacing any User Content you post or store on the Sites or through the Services at your sole cost and expense. In order to cooperate with legitimate governmental requests, subpoenas or court orders, to protect Reliant’s systems and customers, or to ensure the integrity and operation of Reliant’s business and systems, Reliant may access and disclose any information it considers necessary or appropriate, including, without limitation, user profile information (i.e. name, email address, etc.), IP addressing and traffic information, usage history, and posted User Content. Reliant’s right to disclose any such information as set forth herein shall supersede and control any conflicting terms of Reliant’s Privacy Policy.

Except as explicitly indicated in these Terms of Use, or unless otherwise indicated on the Sites or in connection with your use of the Services, if you post User Content to any of the Sites or in connection with the Services, you retain all rights in and to such User Content. You grant Reliant, its affiliates, and third party service providers a nonexclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such User Content throughout the world in any media. You grant Reliant and its affiliates and sublicensees the right to use the name that you submit in connection with such User Content, at their sole discretion. You specifically acknowledge and agree that Reliant has the right to sell, license and/or display any advertising, promotional and distribution rights in connection with your User Content and Reliant will be entitled to retain any and all revenue generated from any sales or licenses of such advertising, promotional or distribution rights. No royalties will be paid to you or any third party for your User Content. Nothing in these Terms of Use obligates or may be deemed to obligate the School to sell, license or offer to sell or license any advertising, promotion or distribution rights. You represent and warrant that:

(a) you own and control all of the rights to the User Content that you post or you otherwise have the right to post such User Content to the Sites and license such User Content to Reliant and its affiliates as herein provided;

(b) the User Content is accurate and not misleading; and

(c) use and posting of the User Content you supply does not violate these Terms of Use and will not violate any rights of or cause injury to any person or entity.

Information Storage and Access. Reliant reserves the right, in its sole discretion, to determine whether and how long to store User Content and user data. Reliant will not be responsible for any liability related to the deletion or removal or any data or content maintained on the Sites or the related servers.

Submissions Relating to Site(s) or Services

You acknowledge and agree that, except for User Content submitted in an Interactive Area, any materials, including but not limited to questions, comments, suggestions, ideas, plans, notes, drawings, original or creative materials, images or other information regarding the Sites, the Site Materials or the Services provided by you by participating in surveys hosted by Reliant, or any third party vendors, on the Sites or other sites, in the form of email, or any other submissions to Reliant, or any postings on the Sites, are non-confidential and shall be the sole property of Reliant, and that upon submission of such materials to Reliant you thereby assign without additional consideration all right, title or interest you may hold in such materials to Reliant. Reliant shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these materials for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

Privacy

The Sites and Services are governed by the Reliant Studios Privacy Policy which is incorporated into these Terms by this reference. Please read the Privacy Policy before accessing the Sites or Services or providing any personal information through the Sites or its services.

By submitting your contact information to Reliant, you consent to Reliant contacting you via any of the contact information you provide, including telephone or email.

Export Restrictions

Any software and all underlying information and technology downloaded or viewed from these Sites or in connection with the Services (collectively the "Software or Technical Data") by you may be subject to U.S. export controls, including the Export Administration Act (50 U.S.C. Appx. §§ 2401 et seq.) and the Export Administration Regulations (50 C.F.R. Parts 730-774), and may be subject to export or import regulations in other countries. You are solely responsible for complying with all trade regulations and laws, both foreign and domestic, in your use and viewing of the Sites, the Site Materials and the Services, including without limitation, the Software or Technical Data. Except as authorized by law, you agree and warrant not to export or re-export the Software or Technical Data to any country, or to any person, entity, or end-user subject to U.S. export controls, including without limitation persons or entities listed on the U.S. Department of Commerce Bureau of Export Administration's Denied Parties List and the U.S. Department of Treasury's Specially Designated Nationals. You further represent and warrant that no U.S. federal agency has suspended, revoked, or denied your export privileges.

Indemnification

You agree to defend, indemnify and hold harmless Reliant, the School, their affiliated entities, independent contractors, service providers and consultants, and their respective directors, employees and agents, from and against any claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorneys' fees) arising out of or related to your use of the Sites, the Site Materials, the Services, the Premium Content, and any User Content you post, store or otherwise transmit on or through the Sites, the Services or your use of the Interactive Areas, including without limitation, any actual or threatened suit, demand or claim made against Reliant, the School, and/or their affiliated entities, independent contractors, licensors, service providers, employees, directors or consultants, arising out of or relating to the User Content, your conduct, your violation of these Terms of Use, or the Privacy Policy, as each may be amended from time to time, or your violation of any law(s), regulation(s), or the right(s) of any third party.

Representations, Warranties, and Disclaimers

Reliant does not represent or warrant and expressly disclaims any warranty that (i) any information provided by the Services will be accurate, (ii) the Services will be error-free or accessible at all times, (iii) defects will be corrected, (iv) the Services or the server that makes them available, are free of viruses or other harmful component, or (v) the use or the results of the use of the Services will be correct, accurate, timely, or otherwise reliable.

Further, Reliant expressly disclaims any representation or warranty relating to any products, services, or companies displayed, described, advertised, reviewed, recommended, linked to, or pictured on the Sites, if any. Reliant does not necessarily endorse any such products, services, or companies and does not warrant that any such products, services, or companies are available, will meet the user's needs, are appropriate for any particular use, or are of any certain quality. Likewise, Reliant does not guarantee that any product, service, or company descriptions, reviews, portrayals, specifications, or the like are accurate. Under no circumstances will Reliant be responsible for any loss or damage resulting from any person's reliance on any such product, service, or company descriptions, reviews, or specifications contained on the Sites.

EXCEPT AS EXPRESSLY PROVIDED TO THE CONTRARY IN A WRITING BY RELIANT, THE SITES, THEIR SERVICES, AND ALL PREMIUM CONTENT ARE PROVIDED "AS IS" AND THERE ARE NO WARRANTIES, CLAIMS OR REPRESENTATIONS MADE BY RELIANT EITHER EXPRESS, IMPLIED, OR STATUTORY, WITH RESPECT TO THE FOREGOING, INCLUDING WARRANTIES OF QUALITY, PERFORMANCE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE, NOR ARE THERE ANY WARRANTIES CREATED BY COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE. RELIANT DOES NOT WARRANT THAT THE SERVICES, INCLUDING THE PREMIUM CONTENT, WILL MEET YOUR NEEDS OR BE FREE FROM ERRORS, THAT THE OPERATION OF THE SITES OR ACCESS TO THE PREMIUM CONTENT WILL BE UNINTERRUPTED, AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SITES OR PREMIUM CONTENT, OR AS TO THE ACCURACY, RELIABILITY, OR CONTENT OF ANY INFORMATION, PRODUCTS, OR SERVICES PROVIDED BY RELIANT. NEITHER RELIANT NOR THE SCHOOL IS RESPONSIBLE FOR TYPOGRAPHICAL ERRORS OR OMISSIONS RELATING TO PRICING, TEXT OR IMAGERY. THE FOREGOING EXCLUSIONS AND DISCLAIMERS ARE AN ESSENTIAL PART OF THIS AGREEMENT AND FORMED THE BASIS FOR DETERMINING THE PRICE CHARGED FOR THE SERVICES. ALL DISCLAIMERS CONTAINED IN THESE TERMS APPLY EQUALLY TO RELIANT AND THE SCHOOL. SOME STATES DO NOT ALLOW EXCLUSION OF AN IMPLIED WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.

Reliant and the School each reserve the right to change or delete any and all Site Materials or User Content contained in the Sites and any Services offered through the Sites at any time without notice. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof, or any affiliation therewith, by either Reliant or the School.

Limitation of Liability

IN NO EVENT SHALL RELIANT, THE SCHOOL, THEIR DIRECTORS, AFFILIATES, MEMBERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE), EQUITY OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OR INABILITY TO USE THE SITES, THE SITE MATERIALS, THE SERVICES, THE INTERACTIVE AREAS, OR THE USER CONTENT, INCLUDING WITHOUT LIMITATION ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE BY USER ON ANY INFORMATION OBTAINED FROM RELIANT OR THE SCHOOL, OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO RELIANT'S RECORDS, PROGRAMS OR SERVICES. NOTWITHSTANDING ANYTHING SET FORTH IN THESE TERMS TO THE CONTRARY, RELIANT'S CUMULATIVE LIABILITY TO YOU OR ANY OTHER PARTY FOR ANY LOSS OR DAMAGES RESULTING FROM ANY CLAIMS, DEMANDS, OR ACTIONS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITES, OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (1) THE AGGREGATE FEES PAID BY YOU FOR THE RELIANT SERVICES DURING THE PREVIOUS SIX (6) MONTHS, OR (2) ONE HUNDRED AND 00/100 DOLLARS ($100.00). YOUR SOLE AND EXCLUSIVE RIGHT AND REMEDY IN CASE OF DISSATISFACTION WITH THE SITE, RELATED SERVICES, OR ANY OTHER GRIEVANCE SHALL BE YOUR TERMINATION AND DISCONTINUATION OF ACCESS TO, OR USE OF THE SITES AND SERVICES.

Applicable Law and Venue

These Terms of Use and your use of the Sites, the Site Materials and the Services (except as otherwise may be provided with respect to Third Party Applications) shall be governed by and construed in accordance with the laws of the State of Nebraska applicable to agreements made and to be entirely performed within the State of Nebraska without resort to its conflict of law provisions. You agree that any action at law or in equity arising out of or relating to these Terms of Use (except as may be provided with respect to third party copyright complaints) shall be filed only in the state and federal courts located in Lancaster County, Nebraska and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action or proceeding arising out of these Terms of Use.

Termination

You may terminate these Terms at any time by closing your account, discontinuing your use of the Sites and Services and providing Reliant with a notice of termination. Please review our Privacy Policy for information about what we do with your account when terminated. We may terminate your account, suspend your ability to use certain portions of the Services and/or ban you altogether from the Services for any or no reason, and without notice or liability of any kind. Any such action could prevent you from accessing your account, the Services, your User Content, other content on the Site, or any other related information. In the event of any termination of these Terms, any provisions by which their nature should continue following termination of these Terms shall so continue.

No Class Actions

You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.

Miscellaneous

These Terms (including any amendment agreed upon by the parties in writing) represent the complete agreement between us concerning its subject matter, and supersedes all prior agreements and representations between the parties. If any provision of these Terms are held to be unenforceable for any reason, such provision shall be reformed to the extent necessary to make it enforceable to the maximum extent permissible so as to affect the intent of the parties, and the remainder of these Terms shall continue in full force and effect. A waiver of any default is not a waiver of any subsequent default. The relationship between Reliant and you is not one of a legal partnership relationship, but is one of independent contractors. These Terms shall be binding upon and inure to the benefit of the respective successors and assigns of the parties hereto.
